Environmental

The office provides consultancy on legal limitations, conflicts of jurisdiction, requests and monitoring of environmental licenses for manufacturing, tourism and real estate activities, among other services. He has extensive knowledge in structuring international projects to burn waste to generate energy and carbon credits. And also in the legal and Business Plan evaluation of projects linked to ethanol and biodiesel. The Cassemunha & Alcântara Advogados team also includes lawyers who have worked with public service concession companies such as Comgás, Sabesp and BR Distribuidora.

Civil / Contracts and Business Ethics

The office specializes in the legal restructuring of companies interested in modernizing their “modus operandi” in order to obtain a fairer and more transparent relationship with their “stakeholders”. Works heavily on reviewing customer relationships with distributors and sales representatives. And in resolving conflicts via mediation and arbitration.

Extensive experience in analyzing, reviewing, drafting and negotiating contracts for the supply of products and provision of services; distribution, supply of goods and raw materials, leasing, among others. It also operates in the litigation segment, collection actions, judicial recovery, compensation, etc.

Corporate

The office has recognized expertise in the area of mergers and acquisitions, especially with regard to preparing foreign investment in the country. Constitution, acquisition, merger, division and transformation of companies; investment agreement; shareholder or quotaholder agreements; administration contracts; association agreements – “joint ventures”; are in the area of strong experience of the office. As well as specialized legal diligence (“Due Diligence”) for acquisitions of companies and/or properties involving labor, civil, tax, criminal, environmental, financial areas, among others.

The office also specializes in verifying information and certificates involving the names of individuals and legal entities (“Background Checks”). In the scope of legal advice, he has already dealt with the negotiation and implementation of partnerships with investment funds, including the risk assessment of structures with “off-shores” based in Europe, the Caribbean and the United States.

Labor / Social Security

The firm has extensive experience in renegotiating labor liabilities through arbitration. It has lawyers specialized in drafting company policies and internal regulations; review of Human Resources and Medicine, Environment and Occupational Safety routines. Provides consultancy in the formulation of opinions and employment contracts, in their various forms, and provision of outsourcing services.

It also has extensive experience in preventive consultancy for the areas of Safety, Medicine and the Work Environment, which aims to mitigate work accidents and work incapacity factors, through direct interaction with the various professionals involved. The firm’s professionals have extensive experience in labor litigation, having successfully worked on specific cases involving large organizations. The experience of these professionals also includes carrying out and intermediating relevant union negotiations.

Tax

The firm’s tax area has solid experience in consultancy, judicial and administrative litigation and planning that covers all national taxes. As well as structuring investments in company shares in Brazil and abroad; assistance with international inspections and audits; monitoring infraction notices; and requests for Special Taxation Regimes. And also extensive experience in preparing Tax Procedures that prevent risks in issuing Invoices and Accounting Records; and cash generation projects through the recovery of tax credits and corporate restructuring.

Real estate

The office’s real estate area has solid experience (consultancy and litigation) in the development of subdivisions and incorporations, from the approval phase to the delivery of the property to buyers, including experience in portfolio management, as well as in their securitization.
